TutorTech Marketplace Terms

1. About these Marketplace Terms

These Marketplace Terms explain the rules that apply when approved TutorTech Tutors create, upload, list, sell, purchase or access digital educational content through the TutorTech Marketplace.

These Marketplace Terms form part of the TutorTech Terms of Service and should be read alongside our:

·       Terms of Service

·       Payment and Cancellation Policy

·       Data Privacy Policy

·       Safeguarding Policy

·       User Code of Conduct

·       Copyright / IP Policy

·       Tutor Agreement, where applicable

By using the Marketplace, you agree to comply with these Marketplace Terms.

 

2. What the Marketplace is

The TutorTech Marketplace enables approved Tutors to create, upload and sell educational content to eligible buyers through the TutorTech platform.

Marketplace content may include, for example:

·       lesson resources;

·       worksheets;

·       revision materials;

·       topic guides;

·       templates;

·       learning packs;

·       study resources;

·       teacher/tutor support materials;

·       other educational digital content approved for listing.

TutorTech provides the platform, hosting, payment facilitation, marketplace tools and administrative support.

Unless explicitly stated otherwise, TutorTech is not the author, creator or supplier of Tutor-created Marketplace content.

 

3. Who can sell Marketplace content

Only Tutors who have:

·       applied to TutorTech;

·       been approved by TutorTech;

·       completed Tutor onboarding;

·       accepted the Tutor Agreement;

·       connected a valid Stripe Connect account; and

·       accepted these Marketplace Terms,

may create and sell Marketplace content.

TutorTech may approve, reject, suspend or remove Marketplace seller access at its discretion where required for legal, safeguarding, quality, intellectual property, platform, payment or reputational reasons.

 

4. Who can buy Marketplace content

Marketplace content may be purchased by:

·       Customers for use by themselves or their Students;

·       Tutors for use in their own tutoring preparation or permitted educational activities;

·       other permitted users as made available by TutorTech from time to time.

A user may need a valid TutorTech account before purchasing Marketplace content.

 

5. Tutor seller responsibilities

Tutor sellers are responsible for ensuring that all content they upload, list or sell:

·       is accurate and not misleading;

·       is suitable for the stated age group, subject and learning purpose;

·       does not infringe copyright, trade marks, database rights, moral rights, design rights or any other intellectual property rights;

·       does not contain unlawful, harmful, discriminatory, offensive, unsafe or inappropriate material;

·       complies with safeguarding expectations;

·       complies with applicable education, consumer, advertising and platform rules;

·       does not include personal data unless lawful, necessary and appropriately protected;

·       does not include confidential school, student, parent, tutor or third-party information;

·       is not copied, scraped or unlawfully adapted from third-party sources;

·       does not include unauthorised exam papers, mark schemes, paid resources, licensed resources or subscription materials.

Tutor sellers are responsible for all legal, tax, VAT and accounting obligations relating to their Marketplace sales.

TutorTech does not provide tax, VAT, accounting or legal advice.

 

6. Intellectual property ownership

Tutor sellers retain ownership of their original content, subject to any third-party rights.

By uploading or listing content on the Marketplace, the Tutor seller grants TutorTech a non-exclusive, worldwide, royalty-free licence to:

·       host the content;

·       display the content;

·       reproduce the content for platform operation;

·       generate previews, thumbnails, summaries or listing information;

·       market and promote the content;

·       deliver the content to buyers;

·       store backup copies;

·       process the content for moderation, security, analytics, support and platform improvement;

·      process the content for platform functionality, security, moderation, support, analytics, search, curriculum mapping, quality review, listing optimisation and platform improvement;

·       remove, suspend or disable access to the content where required.

The standard Marketplace licence does not permit TutorTech to sublicense Tutor-created content to third-party AI, LLM, machine learning, dataset, RAG/API or technology platforms for external commercial use unless the Tutor has separately opted into the Educator IP Programme or agreed separate written terms.

This licence continues for as long as needed to operate the Marketplace, support prior purchases, meet legal obligations, resolve disputes, maintain records and protect TutorTech’s legitimate interests.

6.1 Educator IP Programme

TutorTech may operate a separate Educator IP Programme through which eligible Tutors may choose to make selected Marketplace content available for future AI, LLM, machine learning, dataset, RAG/API, curriculum mapping, education technology licensing or sublicensing opportunities.

Participation in the Educator IP Programme is optional and separate from standard Marketplace selling.

By opting into the Educator IP Programme, a Tutor may allow TutorTech to process, structure, classify, tag, analyse, index, transform, embed and prepare eligible content for potential future AI, LLM, dataset, RAG/API, curriculum mapping and education technology licensing opportunities.

TutorTech will not sublicense Tutor-created Marketplace content to third-party AI, LLM, dataset, RAG/API or technology platforms under the Educator IP Programme unless the Tutor has opted in or agreed separate written terms.

Because future third-party licensing opportunities may differ in structure, scope, pricing, attribution method and commercial value, the applicable revenue share percentage or calculation method may vary by opportunity.

Before TutorTech includes selected Tutor content in a revenue-generating third-party sublicensing opportunity, TutorTech will notify participating Tutors of the applicable commercial terms, including the revenue share basis, payment schedule, reporting approach and any withdrawal deadline.

If a Tutor does not wish selected content to be included under those commercial terms, the Tutor may withdraw that content from future sublicensing before the notified withdrawal deadline.

Participation in the Educator IP Programme is separate from and additive to standard Marketplace sales. Standard Marketplace platform fees continue to apply to Marketplace sales and are not replaced by the Educator IP Programme.

The full terms of the Educator IP Programme will be set out in the Educator IP Programme Agreement and any applicable programme notices.

7. Buyer licence

When a buyer purchases Marketplace content, the buyer receives a limited, non-exclusive, non-transferable licence to use the content for personal educational purposes only, unless the listing states otherwise.

Buyers must not:

·       resell the content;

·       redistribute the content;

·       upload the content to another marketplace, website, app or learning platform;

·       share the content publicly;

·       remove copyright notices;

·       claim ownership or authorship;

·       use the content to create competing products;

·       use the content for AI model training, dataset creation or automated scraping;

·       share the content outside the permitted household, tutoring, school or educational context described in the listing.

Tutor buyers may use purchased content for reasonable lesson preparation and delivery, but must not resell, repackage, redistribute or publish the content as their own.

These restrictions apply to buyers only and do not affect TutorTech’s rights under the standard Marketplace licence granted at Section 6, or under any separate Educator IP Programme Agreement where the relevant Tutor has opted into that programme.

8. AI-assisted content

Tutor sellers must disclose where Marketplace content includes material that is substantially AI-assisted or AI-generated.

Tutor sellers remain responsible for:

·       checking accuracy;

·       checking age appropriateness;

·       checking curriculum relevance;

·       checking originality;

·       checking for copyright or third-party rights issues;

·       ensuring content is not misleading.

AI-generated or AI-assisted content must not be presented in a misleading way.

TutorTech may require AI disclosure, additional review or removal of content where concerns arise.

 

9. Pricing, fees and payments

Tutor sellers set the price for their Marketplace content unless TutorTech provides specific pricing rules or restrictions.

Payments are processed through TutorTech’s payment infrastructure and/or Stripe Connect.

TutorTech may deduct:

·       a platform service fee;

·       payment processing charges, where applicable;

·       VAT on the TutorTech platform service fee, where applicable;

·       refunds, chargebacks or adjustments.

The current TutorTech platform fee for Marketplace content is 20%, unless otherwise stated.

TutorTech may change Marketplace fees by giving not less than 30 days' written notice to affected sellers, or by displaying updated fees before a new listing or sale where changes apply prospectively only.

Tutor sellers are responsible for their own tax and VAT obligations arising from Marketplace sales.

 

10. Refunds and digital delivery

Marketplace content is usually supplied as digital content.

Where a buyer chooses immediate access or download, the buyer may be asked to give express consent to immediate digital delivery and acknowledge that cancellation rights may be limited once access or download begins. UK consumer rules for digital content require express consent and acknowledgement before digital content is supplied during the cancellation period.

Refunds for Marketplace content are handled in accordance with the TutorTech Payment and Cancellation Policy.

Refunds may be considered where:

·       content is not accessible due to a platform failure;

·       the wrong content was supplied;

·       content is materially not as described;

·       a refund is required by law;

·       TutorTech determines that a refund is appropriate.

Refunds are not normally provided where a buyer has accessed or downloaded digital content and simply changes their mind, unless required by law.

 

11. Marketplace content review and removal

TutorTech may review, approve, reject, edit, suspend, hide, remove or disable Marketplace content at any time.

Reasons may include:

·       safeguarding concerns;

·       copyright or IP concerns;

·       suspected plagiarism;

·       inaccurate or misleading descriptions;

·       poor quality or inappropriate material;

·       complaints from buyers;

·       legal or regulatory risk;

·       breach of TutorTech policies;

·       suspected misuse of the platform.

TutorTech is not obliged to pre-screen all Marketplace content.

 

12. Copyright and infringement complaints

If a user or rights holder believes Marketplace content infringes their rights, they should follow the TutorTech Copyright / IP Policy.

TutorTech may remove or disable content while a complaint is investigated.

TutorTech may suspend or terminate repeat infringers.

 

13. Ratings, reviews and feedback

TutorTech may allow users to leave ratings, reviews or feedback on Marketplace content.

Users must ensure reviews are honest, fair and not abusive, defamatory, discriminatory or misleading.

TutorTech may remove reviews that breach platform rules.

 

14. Prohibited Marketplace activity

Users must not:

·       upload infringing content;

·       purchase content to copy or resell it;

·       bypass TutorTech payments;

·       manipulate reviews;

·       create fake purchases;

·       scrape Marketplace listings;

·       use bots or automated access;

·       harass sellers or buyers;

·       upload unsafe or inappropriate content involving children;

·       misuse school, student, parent or tutor information;

·       use Marketplace content for unlawful, harmful or misleading purposes.

 

15. Suspension and termination

TutorTech may suspend or terminate Marketplace access where a user:

·       breaches these Marketplace Terms;

·       breaches any TutorTech policy;

·       creates legal, safeguarding, IP, payment or reputational risk;

·       receives repeated complaints;

·       misuses Marketplace content;

·       attempts to avoid TutorTech fees;

·       engages in fraudulent, misleading or abusive behaviour.

 

16. Limitation of liability

TutorTech provides the Marketplace platform, but Tutor sellers are responsible for the content they create and sell.

TutorTech does not guarantee:

·       learning outcomes;

·       accuracy of Tutor-created content;

·       suitability for a particular exam board, school, student or curriculum;

·       uninterrupted access to Marketplace content;

·       that all content has been independently verified by TutorTech.

Nothing in these Marketplace Terms excludes liability where it cannot lawfully be excluded.

 

17. Changes to these Marketplace Terms

TutorTech may update these Marketplace Terms from time to time.

Material changes will be communicated where appropriate.

Continued use of the Marketplace after changes take effect means users accept the updated Marketplace Terms.
